Terms & Conditions

These are the terms of your subscription to Bangerz Army, a service operated by Freyja Creative Limited (England and Wales, company no. 11954617). By subscribing you agree to be bound by them and by our Privacy Policy.

The English text below is the operative version; a French courtesy translation follows it.

PART A — ENGLISH (operative version — prevails in case of conflict with the French text below)

1. Who these Terms are with

These Terms & Conditions ("Terms") are a contract between you ("you", "Member") and Freyja Creative Limited (company no. 11954617), a private limited company registered in England and Wales at 3rd Floor, 45 Albemarle Street, London, W1S 4JL ("Bangerz Army", "we", "us"), which operates the Bangerz Army service and website at bangerz-army.com (the "Service").

2. Eligibility

You must be at least 18 years old (or the age of majority in your country of residence) and capable of forming a binding contract to subscribe to the Service. The Service is intended for DJs and music professionals/hobbyists downloading and using licensed content for DJ performance and personal use.

3. The Service

Bangerz Army provides subscribing Members with access to a curated pool of DJ-ready audio content ("Arsenal"), playlists, a usage/contribution ranking system, and related features, subject to the plan tier you select ("Pro Standard", "Pro Gold", or any other plan we offer from time to time).

4. Subscription plans, billing, and price changes

4.1. Subscriptions are billed in advance on a recurring basis (monthly, or on any other multi-month cycle you select at checkout) via our payment processor, Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method automatically at the start of each billing period until you cancel.

4.2. Prices are shown at checkout inclusive of the plan and billing frequency you select. We may change prices for future billing periods; where required by law, we will give you advance notice before a price change takes effect on your subscription, and you may cancel before the new price applies.

4.3. Free trial (if offered): if your subscription begins with a free or discounted trial period, it will automatically convert to a paid subscription at the standard price at the end of the trial unless you cancel before the trial ends. We will disclose the trial length and the post-trial price clearly before you start the trial.

5. Cancellation

5.1. How to cancel. You may cancel your subscription at any time through the in-app cancellation flow (Account → Membership → "Cancel your subscription"). This is the sole cancellation path for the Service; cancellation is not available through the Stripe customer billing portal.

5.2. What happens when you cancel. Cancellation takes effect at the end of your current paid billing period (cancel_at_period_end). You keep full access to the Service, including downloads, for the remainder of the period you have already paid for. Your subscription then ends automatically — no further charges will be made, and no automatic re-enrollment occurs.

5.3. No pro-rata refunds. Except as required by applicable law (see §5.5 on cooling-off rights), we do not provide partial refunds for the unused portion of a billing period following cancellation.

5.4. Cancellation feedback. As part of the cancellation flow, we ask you to select a reason for leaving and (optionally) leave a comment. This information is stored in our systems and shared with our payment processor for service-improvement and analytics purposes. See §13 (Data & Privacy).

5.5. Statutory cooling-off period (EU/UK consumers). If you are a consumer resident in the UK or EU, you generally have a 14-day right to cancel a new subscription from the date of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) or the equivalent implementation of Directive 2011/83/EU (Consumer Rights Directive) in your EU country of residence, and to receive a refund. Because the Service gives you immediate access to downloadable digital content, this cooling-off right ends as soon as you start downloading or streaming content after checkout, provided we have obtained your express consent to lose that right and acknowledgment that you lose it once performance begins (Regulation 37, UK 2013 Regulations; Art. 16(m), Directive 2011/83/EU).

5.6. US consumers — auto-renewal disclosure. If you are a US-resident consumer, in addition to the above, we provide clear and conspicuous disclosure of the recurring-charge terms, obtain your express informed consent before charging you, and provide a cancellation mechanism at least as easy to use as the sign-up mechanism, consistent with the Restore Online Shoppers' Confidence Act (ROSCA), 15 U.S.C. § 8403, and applicable state auto-renewal statutes (e.g., California Automatic Renewal Law, Cal. Bus. & Prof. Code §§ 17600–17606).

5.7. UK subscription-contract regime (forward-looking). The Digital Markets, Competition and Consumers Act 2024, Part 4, Chapter 2 (ss. 256–266) introduces a new UK subscription-contracts regime (pre-contract information, periodic reminder notices roughly every 6 months for rolling contracts, and a guaranteed easy-exit mechanism). Government guidance (as of November 2025) delays commencement to "autumn 2026 at the earliest." It is not yet in force. We will update this clause with the exact commencement date once the commencement regulations are made.

6. Pausing your subscription

6.1. Instead of cancelling, you may pause your subscription for 1, 2, or 3 months (your choice at the time you pause). Billing is suspended for the paused period and resumes automatically at the end of the period you selected, unless you resume manually first.

6.2. What you keep during a pause: your full library, playlists, Arsenal browsing access, and ranking/standing remain visible and unaffected during a pause.

6.3. What is restricted during a pause: you cannot download new or existing content from the Service while paused (including via bulk/zip download or direct track download). This restriction is enforced automatically and applies from the moment your pause takes effect.

6.4. You may resume your subscription at any time before the pause period ends via the "Resume now" option on your Membership page; billing and full download access resume immediately upon manual resume.

6.5. A pause is not a cancellation and does not stop the automatic resumption of billing at the end of the paused period; if you do not want billing to resume, you must cancel before the pause ends.

7. Credits (not currently in force)

7.1. Certain plans may award you "Credits" as part of your subscription, usable within the Service as described at the time of accrual. Credits have no cash value, cannot be sold, transferred, or exchanged for cash, and are not your property — they are a usage entitlement tied to your active subscription.

7.2. Credits during a pause: Credits you have already accrued are preserved and remain usable (subject to §6.3 download restrictions) while your subscription is paused.

7.3. Credits on cancellation — mandatory warning: if you cancel your subscription, you forfeit all accumulated, unused Credits at the end of your current billing period, together with your subscription access. Before you can confirm cancellation, we will display an explicit warning stating the number of Credits you will lose (e.g., "Cancelling forfeits your [X] Credits — this cannot be undone"). This warning must appear as a distinct, clearly-readable step in the cancellation flow, not buried in general terms.

8. Acceptable use

8.1. Your subscription grants you a personal, non-exclusive, non-transferable, non-sublicensable license to download and use content from the Arsenal for your own DJ performances and private practice, for the duration your subscription (or, where applicable, credits/download rights) remains active.

8.2. You may not: resell, redistribute, sublicense, or share Arsenal content with non-subscribers; upload Arsenal content to other pools, marketplaces, or public file-sharing services; use automated tools to scrape or bulk-extract content beyond the Service's own bulk-download feature; or use the Service to infringe any third party's rights.

8.3. We may suspend or terminate your account for breach of this section, in accordance with §12.

9. Intellectual property and music rights

9.1. Ownership. All content made available through the Service, and the Service itself (software, design, trademarks "Bangerz Army" and associated logos), is owned by Freyja Creative Limited or its licensors and protected by copyright, trademark, and other applicable laws. Nothing in these Terms transfers ownership of any content or IP to you beyond the limited license in §8.

9.2. How the musical works are licensed. When music is made available to download or stream, several rights are exploited and each has to be cleared. Mechanical rights are exploited every time a copy of a work is made — for example when a track is downloaded, or temporarily cached for streaming. Communication to the public (also called performing) rights are exploited whenever a work is transmitted digitally to a user. For the musical works embodied in Arsenal content, Bangerz Army holds a multi-territory licence through ICE Services (Licensr), which licenses the mechanical and performing rights in the ICE Core repertoire — the repertoire ICE licenses directly on behalf of multiple rightsholders, including PRS, GEMA, STIM, IMRO and MCPS, independent publishers that have joined PRS's multi-territory initiative, and publishers directly affiliated with ICE. Performing rights in the United States are licensed through ASCAP.

9.3. What those licences do and do not cover. The licences described in §9.2 cover the rights, the repertoire and the territories that our licensors themselves cover. They are not a warranty that every work in the Arsenal is cleared in every territory or for every possible use, and they do not extend to you any right beyond the personal licence in §8. Where we become aware that a work in the Arsenal falls outside the scope of our licences, we remove it.

9.4. Your own performance and broadcast licences. Your subscription licenses you to obtain Arsenal content and use it in your own DJ performances and private practice. It does not license the venue, event, broadcast or stream on which you perform. Where the law of the country in which you perform requires a public-performance, broadcast or webcast licence from a collecting society — for example PRS, SACEM, GEMA, SIAE, ASCAP or BMI — obtaining that licence is the responsibility of you or of the venue or platform, not of Bangerz Army.

9.5. Copyright complaints. Bangerz Army respects the intellectual property of others and expects Members to do the same. If you believe in good faith that material made available through the Service infringes your copyright or other intellectual property right, write to [email protected] with: identification of the right allegedly infringed (with registration numbers or a statement of ownership); the specific location of the material, in enough detail for us to find it (a top-level URL is not sufficient); your name, address, telephone number and email address; a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law; a statement that the information in your notice is accurate and that you are the rightsholder or authorised to act on their behalf; and your electronic or physical signature. We will investigate and, where a complaint is well founded, remove the material.

10. Refunds (general)

Other than the statutory cooling-off rights in §5.5–§5.6 and the goodwill refund window in §10.1, all subscription fees are non-refundable, including for periods where you did not use the Service, downgraded mid-cycle, or were suspended for a breach of these Terms.

10.1. Goodwill refund window. Separately from the statutory cooling-off rights in §5.5 to §5.6, we offer a goodwill refund if you ask within 7 days of your most recent payment. This refund is for the full amount of that payment; we do not prorate or provide partial refunds. Once we process the refund your account access ends immediately, including any downloads already made. This window applies to the payment that funded your current billing period, not to the original signup date, so it resets every time you are charged. Contact [email protected] to request it.

11. Disclaimers and limitation of liability

11.1. The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Service's availability, accuracy, or fitness for a particular purpose.

11.2. To the maximum extent permitted by law, Freyja Creative Limited's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law (or, for EU/UK consumers, any liability that cannot be excluded under mandatory local consumer-protection law).

12. Suspension and termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, engage in fraud or abuse, or where required by law. Sections that by their nature should survive termination (e.g., §9 IP, §11 liability, §16 governing law) survive.

13. Data & Privacy

We collect and process personal data about you (account details, payment metadata via Stripe, usage data such as downloads, playlists, ranking activity, and cancellation-reason/feedback data — see §5.4) to operate, secure, and improve the Service, in accordance with our Privacy Policy. If you are in the EU or UK, this processing is carried out under UK GDPR (Data Protection Act 2018) and/or Regulation (EU) 2016/679 (GDPR), and you have rights of access, rectification, erasure, restriction, and portability — see the Privacy Policy for how to exercise them.

14. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide reasonable advance notice (e.g., in-app notice or email) before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

15.1. These Terms are governed by the laws of England and Wales.

15.2. If you are a consumer habitually resident in an EU member state or in the UK, this choice of law does not deprive you of the protection of any mandatory consumer-protection provisions of the law of your country of residence, and you may bring proceedings in the courts of your own country of residence in addition to the courts of England and Wales (Regulation (EU) No 1215/2012, recast Brussels I, Art. 18; retained/mirrored under UK private international law for UK consumers).

15.3. Subject to §15.2, the courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms.

1. Qui propose ces CGV

Les présentes Conditions Générales de Vente et d'Utilisation (« CGV ») constituent un contrat entre vous (« vous », « Membre ») et Freyja Creative Limited (société à responsabilité limitée de droit anglais, n° 11954617, siège social au 3rd Floor, 45 Albemarle Street, Londres, W1S 4JL) (« Bangerz Army », « nous »), qui exploite le service et le site bangerz-army.com (le « Service »).

2. Éligibilité

Vous devez avoir au moins 18 ans (ou l'âge de la majorité dans votre pays de résidence) pour souscrire au Service, destiné aux DJs et professionnels/amateurs de musique.

3. Le Service

Bangerz Army donne accès, sur abonnement, à un catalogue de contenus audio prêts pour DJ (l'« Arsenal »), à des playlists, à un système de classement, selon la formule choisie (« Pro Standard », « Pro Gold », ou toute autre formule proposée).

4. Formules, facturation et changements de prix

Facturation récurrente d'avance (mensuelle ou multi-mois) via Stripe. Les prix peuvent évoluer pour les périodes futures ; préavis donné lorsque la loi l'exige. Tout essai gratuit se convertit automatiquement en abonnement payant sauf annulation avant la fin de l'essai.

5. Annulation

5.1. L'annulation se fait exclusivement via le parcours in-app (Compte → Abonnement → « Annuler votre abonnement ») — pas via le portail Stripe. 5.2. L'annulation prend effet à la fin de la période déjà payée (cancel_at_period_end) ; accès conservé jusqu'à cette date, puis fin automatique, sans nouveau prélèvement. 5.3. Pas de remboursement au prorata, sauf droit légal de rétractation (voir 5.4). 5.4. Droit de rétractation de 14 jours (consommateurs UE) : en principe applicable dès l'achat, mais s'éteint dès le premier téléchargement/streaming après votre consentement exprès et votre reconnaissance de la perte de ce droit (Directive 2011/83/UE, art. 16(m), transposée en droit national — ex. Code de la consommation art. L221-28 9° en France). 5.5. Un motif d'annulation (et un commentaire optionnel) vous est demandé lors du parcours ; ces données sont conservées à des fins d'analyse (voir §13).

6. Mise en pause de l'abonnement

Pause possible 1, 2 ou 3 mois ; facturation suspendue puis reprise automatique à l'échéance sauf reprise manuelle anticipée. Pendant la pause : bibliothèque, playlists et classement restent visibles, mais les téléchargements (nouveaux et existants) sont bloqués. Reprise manuelle possible à tout moment via « Reprendre maintenant ».

7. Crédits (non encore en vigueur)

Les Crédits accordés dans certaines formules n'ont pas de valeur monétaire et ne sont ni cessibles ni échangeables contre de l'argent. Ils sont conservés pendant une pause. En cas d'annulation, tous les Crédits accumulés et non utilisés sont définitivement perdus — un avertissement explicite (« Annuler vous fait perdre vos [X] Crédits — irréversible ») doit s'afficher avant toute confirmation d'annulation.

8. Utilisation autorisée

Licence personnelle, non exclusive, non cessible, pour vos performances DJ et votre pratique privée. Interdiction de revente, redistribution, partage hors Service, extraction automatisée non prévue par la fonctionnalité de téléchargement groupé du Service.

9. Propriété intellectuelle et droits musicaux

9.1. Propriété. Tout le contenu et le Service (logiciel, design, marques « Bangerz Army » et logos associés) appartiennent à Freyja Creative Limited ou à ses concédants. Les présentes CGV ne vous transfèrent aucun droit de propriété au-delà de la licence limitée prévue au §8.

9.2. Comment les œuvres musicales sont licenciées. Lorsqu'une musique est mise à disposition en téléchargement ou en streaming, plusieurs droits sont exploités et doivent être libérés. Les droits mécaniques sont exploités à chaque reproduction d'une œuvre — par exemple lors d'un téléchargement ou d'une mise en cache temporaire pour le streaming. Les droits de communication au public (dits aussi droits d'exécution) sont exploités chaque fois qu'une œuvre est transmise numériquement à un utilisateur. Pour les œuvres musicales contenues dans l'Arsenal, Bangerz Army dispose d'une licence multi-territoriale auprès d'ICE Services (Licensr), qui licencie les droits mécaniques et d'exécution du répertoire Core d'ICE — le répertoire qu'ICE licencie directement pour le compte de plusieurs ayants droit, dont PRS, GEMA, STIM, IMRO et MCPS, des éditeurs indépendants ayant rejoint l'initiative multi-territoriale de PRS, ainsi que des éditeurs directement affiliés à ICE. Les droits d'exécution aux États-Unis sont licenciés via ASCAP.

9.3. Portée et limites de ces licences. Les licences décrites au §9.2 couvrent les droits, le répertoire et les territoires couverts par nos propres concédants. Elles ne constituent pas une garantie que chaque œuvre de l'Arsenal est libérée dans tous les territoires ou pour tout usage, et ne vous confèrent aucun droit au-delà de la licence personnelle du §8. Lorsque nous constatons qu'une œuvre de l'Arsenal sort du champ de nos licences, nous la retirons.

9.4. Vos propres licences d'exécution et de diffusion. Votre abonnement vous autorise à obtenir le contenu de l'Arsenal et à l'utiliser dans vos propres performances DJ et votre pratique privée. Il ne couvre pas le lieu, l'événement, la diffusion ou le stream sur lequel vous vous produisez. Lorsque le droit du pays où vous vous produisez exige une licence d'exécution publique, de radiodiffusion ou de webcast auprès d'une société de gestion collective — par exemple SACEM, PRS, GEMA, SIAE, ASCAP ou BMI — l'obtention de cette licence relève de vous, du lieu ou de la plateforme, et non de Bangerz Army.

9.5. RĂ©clamations pour atteinte au droit d'auteur. Si vous estimez de bonne foi qu'un contenu mis Ă  disposition via le Service porte atteinte Ă  vos droits, Ă©crivez Ă  [email protected] en indiquant : le droit prĂ©tendument violĂ© (numĂ©ros d'enregistrement ou justificatif de titularitĂ©) ; la localisation prĂ©cise du contenu (une URL de premier niveau ne suffit pas) ; vos nom, adresse, tĂ©lĂ©phone et e-mail ; une dĂ©claration de bonne foi indiquant que l'usage n'est pas autorisĂ© ; une dĂ©claration d'exactitude et de qualitĂ© pour agir ; et votre signature Ă©lectronique ou manuscrite. Nous instruisons la rĂ©clamation et retirons le contenu lorsqu'elle est fondĂ©e.

10. Remboursements

Hors droit de rétractation légal (§5.4) et hors fenêtre de remboursement de courtoisie prévue au §10.1, les frais d'abonnement ne sont pas remboursables.

10.1. FenĂŞtre de remboursement de courtoisie. IndĂ©pendamment du droit de rĂ©tractation lĂ©gal visĂ© au §5.4, nous accordons un remboursement de courtoisie si vous en faites la demande dans les 7 jours suivant votre dernier paiement. Ce remboursement porte sur l'intĂ©gralitĂ© de ce paiement ; nous ne proposons pas de remboursement au prorata ni partiel. Une fois le remboursement traitĂ©, votre accès au compte cesse immĂ©diatement, y compris pour les tĂ©lĂ©chargements dĂ©jĂ  effectuĂ©s. Cette fenĂŞtre s'applique au paiement qui a financĂ© votre pĂ©riode de facturation en cours, et non Ă  la date d'inscription initiale : elle se rĂ©initialise Ă  chaque nouveau prĂ©lèvement. 11. Limitation de responsabilité

Service fourni « en l'état ». Responsabilité totale de Freyja Creative Limited plafonnée aux sommes versées durant les 12 mois précédant la réclamation, sauf ce qui ne peut être exclu par la loi anglaise ou par le droit impératif de la consommation applicable.

12. Suspension et résiliation

Possibilité de suspendre/résilier votre accès en cas de manquement, fraude, ou obligation légale.

13. Données et vie privée

Traitement de vos données (compte, métadonnées de paiement Stripe, usage, motif d'annulation) conformément à notre Politique de Confidentialité, dans le respect du RGPD (Règlement (UE) 2016/679) si vous résidez dans l'UE.

14. Modifications des CGV

Mise à jour possible avec préavis raisonnable pour tout changement substantiel.

15. Droit applicable et juridiction

Droit anglais (Angleterre et Pays de Galles). Si vous êtes consommateur résidant dans l'UE, vous conservez la protection des dispositions impératives de votre droit national et pouvez agir devant les tribunaux de votre pays de résidence en plus des tribunaux anglais.
